Welcome to Beside. STILLSTATE INC, doing business as Beside ("Beside," "we," "us," or "our"), operates this store and website, including the information, content, features, tools, products, and services made available through them (collectively, the "Services"). Our store is hosted on Shopify, which provides the ecommerce platform that enables us to offer the Services.
These Terms of Service ("Terms"), together with the policies they reference, describe your rights and responsibilities when you use the Services. Please read them carefully. They include important information about warranty disclaimers and limits on liability.
By visiting, interacting with, or using the Services, you agree to these Terms and our Privacy Policy at https://besidesleep.com/policies/privacy-policy. If you do not agree, do not use the Services.
1. ACCESS, ELIGIBILITY, AND ACCOUNTS
The Services are offered only to customers purchasing for delivery within the United States. You must be at least the age of majority in your state of residence to make a purchase. The Services are intended for a general audience and are not directed to children under 13.
You may be asked to provide information such as your name, email address, billing information, payment information, and shipping address. You represent that the information you provide is accurate, current, and complete, and that you are authorized to provide it.
If you create or use an account, you are responsible for safeguarding your account credentials and for activity conducted through your account. You may not sell, transfer, assign, or license your account to another person.
2. PRODUCTS AND PRODUCT INFORMATION
We make reasonable efforts to present our products accurately. Colors, materials, dimensions, and other details may appear differently depending on your device, display settings, or browser. Product images are illustrative and may not show every current detail.
We may correct errors, inaccuracies, or omissions and may update product descriptions, specifications, availability, prices, packaging, or other product information when necessary. We may limit quantities, discontinue a product, or limit sales to a person, household, order, geographic area, or jurisdiction where permitted by law.
Our products are intended for general comfort, rest, wellness, and lifestyle use. They are not medical devices, medications, clinical treatments, or a substitute for professional medical advice, diagnosis, or care. They are not intended to diagnose, treat, cure, or prevent any disease or medical condition. If you have a medical condition, pregnancy-related concern, allergy, scent sensitivity, breathing concern, sleep disorder, or other health question, consult a qualified healthcare professional before use.
3. ORDERS, ACCEPTANCE, AND AVAILABILITY
Submitting an order is an offer to purchase. We may accept or decline an order to the extent permitted by law, including because of product availability, suspected fraud, errors in pricing or product information, or limits on quantities. An automated order confirmation acknowledges that we received your order; it does not by itself mean that we accepted it. We accept an order when we send a shipment confirmation or otherwise expressly confirm acceptance.
Please review your order before submitting it. If you need to change or cancel an order, contact us promptly at team@besidesleep.com. We cannot guarantee that a request can be accommodated after an order has been accepted or processed for shipment. If we cancel an accepted order, we will provide any refund required by applicable law.
Purchases are for personal or household use only and not for commercial resale or export.
4. PRICES, PAYMENT, TAXES, AND PROMOTIONS
Prices are shown in U.S. dollars unless we state otherwise. The price displayed when you place an order, as reflected in the order confirmation, generally applies to that order, except where a pricing error must be corrected or applicable law requires otherwise.
Taxes, shipping charges, and any other applicable charges are shown at checkout before you complete your purchase. You are responsible for providing current, complete, and accurate purchase and payment information and for any amounts properly due for your order. You represent that you are authorized to use the payment method you provide.
Promotions, discounts, and promotional codes may be subject to separate terms, eligibility requirements, expiration dates, and quantity limits. If promotional terms conflict with these Terms, the promotional terms control for that promotion.
5. SHIPPING AND DELIVERY
Available shipping methods, charges, and estimated delivery times are shown at checkout based on the shipping address you provide. Delivery dates and transit times are estimates, not guarantees, unless we expressly state otherwise.
We will have a reasonable basis for any stated shipment timeframe. If we cannot ship an order within the promised time, or within the period required by applicable law where no time is stated, we will provide any required delay notice, cancellation option, and refund. Events outside our reasonable control, including carrier disruptions, severe weather, or other force majeure events, may affect delivery, but do not limit rights that cannot be waived under applicable law.
6. 30-NIGHT TRIAL, RETURNS, AND REFUNDS
All in-stock physical products purchased directly from the Services include a 30-night trial unless a product page expressly states otherwise. The trial begins on the date shown as delivered by the applicable carrier. To request a return during the trial, contact team@besidesleep.com with your order details before the end of the 30th night. We will confirm eligibility and provide return instructions.
For a return that is not caused by a damaged, defective, or incorrectly sent item, you are responsible for return shipping costs. If the return is eligible, we will refund the product purchase price and applicable taxes; original standard shipping charges are not refundable. Returned items must include all material components and must not be intentionally damaged or misused.
If an item arrives damaged, defective, or incorrect, contact us promptly with your order number and photos of the item received. If we confirm the issue, Beside will provide a prepaid return label when a return is required and will provide the refund, replacement, or other remedy required by applicable law.
Refunds are issued after we receive and inspect an eligible return, or sooner when a return is not required. We will process refunds promptly and within the time required by applicable law. Your payment provider may take additional time to post a refund to your account. This section does not limit any non-waivable consumer rights or remedies.
7. PRIVACY AND SHOPIFY
Our collection and use of personal information is governed by our Privacy Policy at https://besidesleep.com/policies/privacy-policy. The Services are hosted by Shopify. Shopify collects and processes information about your access to and use of the Services to provide and improve its services, and information you submit may be shared with Shopify and service providers that help us operate the Services.
Depending on the Shopify services and features used by the store, Shopify may process personal information as described in Shopify's Consumer Privacy Policy at https://www.shopify.com/legal/privacy/consumers. Your choices and rights are described in our Privacy Policy and, where applicable, Shopify's privacy controls. For questions about how Beside handles your information, contact team@besidesleep.com.
8. THIRD-PARTY SERVICES AND LINKS
The Services may include links to, integrations with, or content from third-party services, including social media platforms, payment providers, review providers, and Shopify features. Those services are governed by their own terms and privacy policies. We do not control and are not responsible for third-party services, content, availability, or transactions you choose to enter into with them.
9. INTELLECTUAL PROPERTY
The Services and their contents, including our trademarks, names, logos, product names, text, images, graphics, videos, audio, and the selection and arrangement of those materials, are owned by Beside, its affiliates, licensors, or the applicable rights holders and are protected by applicable intellectual-property laws.
We grant you a limited, revocable, non-transferable license to access and use the Services for your personal, non-commercial use in accordance with these Terms. Except with our prior written permission or as permitted by law, you may not copy, reproduce, distribute, modify, create derivative works from, publicly display, republish, download, store, or transmit material from the Services. All rights not expressly granted are reserved.
10. REVIEWS, FEEDBACK, AND USER CONTENT
If you submit reviews, feedback, ideas, suggestions, photos, or other content (collectively, "Feedback"), you grant Beside a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, publish, distribute, and display that Feedback in connection with operating, improving, and promoting our products and Services.
You represent that you own or have the rights needed to submit Feedback, that it is accurate to the best of your knowledge, and that it does not violate another person's rights or applicable law. We may remove Feedback that we reasonably believe is unlawful, infringing, misleading, abusive, or otherwise inconsistent with these Terms. We do not have an obligation to use, maintain in confidence, compensate you for, or respond to Feedback.
11. ACCEPTABLE USE
You may use the Services only for lawful purposes. You may not:
• violate applicable law or another person's rights;
• interfere with, damage, or disrupt the Services, their security, or their operation;
• introduce malware, harmful code, or other material intended to impair the Services;
• use scraping, data extraction, automation, or AI agents to access the Services in a manner that violates these Terms, bypasses access controls, or creates unreasonable load;
• impersonate another person or entity, submit false information, send spam, or engage in fraudulent or abusive activity; or
• reproduce or exploit any portion of the Services except as expressly permitted by these Terms or applicable law.
We may suspend or restrict access to the Services when reasonably necessary to protect the Services, other users, Beside, or third parties, or when we reasonably believe these Terms have been violated.
12. DISCLAIMER OF WARRANTIES
To the fullest extent permitted by law, the Services and all information made available through them are provided "as is" and "as available." Except for any express written warranty that we provide with a product, Beside disclaims all express, implied, and statutory warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not guarantee that the Services will be uninterrupted, secure, error-free, or free of harmful components, or that all information on the Services will always be accurate, complete, or current. Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.
13. LIMITATION OF LIABILITY
To the fullest extent permitted by law, Beside and its officers, directors, employees, contractors, service providers, affiliates, licensors, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, or business opportunities, arising from or related to the Services or products purchased through them.
To the fullest extent permitted by law, the total liability of Beside and the other parties listed above for all claims arising from or related to the Services or a product will not exceed the amount you paid to Beside for the product or Service giving rise to the claim during the 12 months before the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including non-waivable consumer rights or liability arising from our own gross negligence, willful misconduct, fraud, or personal injury where applicable law prohibits the limitation.
14. INDEMNIFICATION
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Beside and its officers, directors, employees, contractors, service providers, affiliates, licensors, and suppliers from third-party claims, losses, liabilities, damages, and reasonable legal fees arising from your unlawful use of the Services, your violation of these Terms, or your infringement of another person's rights. This obligation does not apply to the extent a claim results from Beside's own negligence, willful misconduct, or violation of law.
15. TERMINATION
We may suspend or end your access to the Services when reasonably necessary to protect the Services, other users, Beside, or third parties, or where we reasonably believe you have violated these Terms. Termination does not affect obligations or rights that arose before termination. Sections that by their nature should survive termination, including intellectual property, feedback, disclaimers, limitations of liability, indemnification, governing law, and general terms, will survive.
16. GOVERNING LAW AND VENUE
These Terms and any dispute arising from or relating to the Services or products purchased through them are governed by the laws of the State of Iowa, without regard to conflict-of-laws principles. Subject to any non-waivable consumer-protection law, you and Beside agree that the state courts located in Iowa and the federal courts with jurisdiction in Iowa have exclusive jurisdiction over any such dispute, and you consent to personal jurisdiction and venue in those courts.
17. CHANGES TO THESE TERMS
We may update these Terms from time to time. We will post the updated version on this page and revise its effective date. If a change is material, we will provide notice when required by applicable law. Your continued use of the Services after the effective date of updated Terms constitutes acceptance to the extent permitted by law.
18. GENERAL TERMS
If any provision of these Terms is held unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of it.
These Terms, together with the policies expressly incorporated by reference, are the entire agreement between you and Beside about the Services, except for any product-specific written warranty or other agreement that expressly states it governs. You may not assign your rights or obligations under these Terms without our written consent. Beside may assign these Terms as part of a merger, acquisition, reorganization, or sale of assets, subject to applicable law.
